The token is, in the issuer's own words, 'a non-negotiable digital record evidencing a pro rata beneficial entitlement (if any)' as beneficiary of a BVI bare trust over a pooled holding of the referenced shares — with no entitlement to any specific identifiable share.
The short answer
Practically: any user with a KYC-verified Backpack Exchange account in a supported region (not US/UK/UAE/Japan, not Backpack EU) can deposit the token and have it converted into a traditional securities holding.
Understand redemption →Control is reported as observed powers, not collapsed into a score.
Understand issuer powers →VERIFIED NEGATIVE: no verification agent, no proof-of-reserve feed, no periodic attestation, no transfer-agent register and no published auditor report on the SPCX share pool exists.
Understand insolvency protection →Published claim ≠ observed reality
These are changes or conflicts in the outside world—not a history of edits to RWA Sonar’s own research.
Marketing says token balances adjust automatically; the binding mechanism changes the conversion ratio
Backpack’s comparison table says corporate actions are automatically reflected through tokenized-share balance adjustments.
The binding Asset Tokenization Terms work a distribution through the deposit/detokenization conversion ratio: token count stays fixed while the units of underlying per token change. The on-chain ScaledUiAmount multiplier remained 1 with no scheduled change when re-read.
Why it matters: The economic adjustment may still preserve value, but wallets do not necessarily show an automatic balance increase. The legally operative mechanism and the user-facing description are different.

Legal claim and issuing chain
- Issuing entity
- Trek Nexus Markets Ltd, a British Virgin Islands business company (or one or more of its affiliates), acting solely as bare trustee under a declaration of trust dated 2026-06-06 (the 'Instrument', unpublished). Full entity map from Schedule A of the User Agreement: token issuer/bare trustee Trek Nexus Markets Ltd (BVI); sole registered Tokenholder and beneficiary AND asset-tokenization services provider Trek Forge Ltd (BVI); brokerage services / introducing broker for non-US customers Backpack Securities Global Limited (New Zealand); platform operator 'Backpack Exchange' Trek Labs Ltd; US-resident services Trek Labs, Inc. (Delaware), registered as a Money Services Business with FinCEN; UAE Trek Labs Ltd FZE (VARA-licensed, DWTC Free Zone); Australia/EEA/UK Trek Labs Australia Pty Ltd (AUSTRAC DCE); margin and borrow-lending 3-102-939537 Sociedad de Responsabilidad Limitada (Costa Rica).
- Entity jurisdiction
- British Virgin Islands (token issuer and the recognised beneficiary); New Zealand (Backpack Securities Global Limited, introducing broker for non-US customers); United States (RQD Clearing, LLC and Atomic Vaults Securities, LLC — the only SEC-registered brokers anywhere in the chain, both third parties; and Trek Labs, Inc., Delaware, a FinCEN MSB). Anjouan (Union of the Comoros) — the live SPCX page's geo-dependent footer names Trek Brokerage Services Limited, 'a company licensed by the Anjouan Offshore Finance Authority', as Intermediary Broker for some regions, so an offshore affiliate sits in the brokerage chain alongside the US firms. The New Zealand Companies Register confirms: Backpack Securities Global Limited is NZ company 9406953, NZBN 9429053463876, incorporated 25 Feb 2026, registered office 145 Ardmore Street, Wanaka — and it was named TREK LABS BROKERAGE SERVICES LIMITED from 19 Feb 2026 to 29 May 2026, i.e. renamed twelve days before the Issuer T&C's 2026-06-10 effective date. Incorporation is not licensing: the NZ Financial Service Providers Register could not be read (Incapsula block), so its FSP registration is unverified either way.
- Governing law
- British Virgin Islands law governs the Issuer Terms and Conditions, and 'all transactions contemplated herein are deemed to occur in the British Virgin Islands' (cl. 2.1). New York law (UCC Article 8, incl. s.8-110(e)) governs the separate OFF-CHAIN security entitlement held in a Backpack Securities account. BVI Electronic Transactions Act 2001 is invoked for electronic assignment of beneficial interests.
- Regulatory status
- The token side is unregulated and says so: 'The Company and the Tokens are not registered with, endorsed, or approved by the British Virgin Islands Financial Services Commission or any other regulatory authority', and the issuer asserts the Tokens 'do not constitute securities, certificates representing investments, depositary receipts, notes, collective investment scheme units, rights or interests in investments or other regulated investments as defined under the Securities and Investment Business Act (SIBA)'. The Risk Disclosure adds that Tokens 'are not designed or marketed as an investment product' and that nothing 'shall constitute an offer of securities or an investment, or be deemed to create an investment contract in any jurisdiction'. The distribution basis is Regulation S: the Asset Tokenization ToS states the Tokens 'have not been registered under the U.S. Securities Act of 1933 ... [and] may not be offered or sold in the United States or to US persons'. Regulated status sits one layer down, in the custody chain: RQD Clearing, LLC (Clearing Broker, CRD 134284 / SEC 8-66826) and Atomic Vaults Securities, LLC (Intermediary Broker, CRD 317194 / SEC 8-70868, formerly Olympus Mons Securities, LLC — note Backpack's docs spell it 'Atomic Vault' singular), both SEC-registered broker-dealers and FINRA & SIPC members. VERIFIED NEGATIVE: FINRA BrokerCheck firm search and SEC IAPD return zero records for 'Backpack', 'Backpack Securities', 'Trek Labs', 'Trek Nexus' and 'Trek Forge'; there is no CRD number, Form BD or SEC registration for any Backpack or Trek entity. SEC EDGAR full-text search returns no Backpack/Trek filings (the six hits for 'Backpack Securities' are unrelated third parties) and no Form D, Reg A or registration statement for SPCX. The consumer-facing introducing broker, Backpack Securities Global Limited, is a New Zealand corporation serving 'non-U.S. customers'. The widely repeated press description of SPCX as issued by 'a regulated U.S. broker-dealer' is therefore not supported by any primary document. Backpack Securities is NOT available to users in the United States, the United Kingdom, the United Arab Emirates or Japan, and is not offered on Backpack EU; cl. 4.1(b) prohibits transferring the token to or for the benefit of any U.S. person. Mark Wetjen (former CFTC Acting Chairman) was appointed President of 'Backpack US' around 2026-03-05, which signals a US expansion effort but is not itself a registration. STRONGEST NEGATIVE: Backpack's own 'US Licenses, Registrations, and Regulatory Disclosures' page, stated as current 'As of September 2026', discloses only money transmission — FinCEN MSB registration 31000329581307 for Trek Labs, Inc., NMLS ID 2665675, plus state money-transmitter licences (Delaware 042857, DC MTR2665675, Iowa 2025-0047 and others) — and contains zero occurrences of 'broker-dealer', 'FINRA', 'SEC' or 'Securities and Exchange'. That is the page a US broker-dealer registration would appear on. Separately, the Brokerage ToS says Backpack Securities Global Limited 'acts solely in its capacities as custodian of Stocks and as a Securities Intermediary'. Sector-wide regulator position: the SEC Division of Corporation Finance staff statement on tokenized securities (2026-01-28) distinguishes securities tokenized by or on behalf of the issuer from those tokenized by unaffiliated third parties, and holds that 'the format in which a security is issued or the methods by which holders are recorded (e.g., onchain vs. offchain) does not affect application of the federal securities laws'. SPCX is squarely third-party: SpaceX's own final prospectus (424B4, 2026-06-12, CIK 0001181412) contains zero occurrences of 'tokeniz', 'Solana' or 'Backpack', so the issuer of the underlying has neither endorsed nor acknowledged these tokens. MATERIAL QUALIFICATION 2026-09-18: even the one regulated layer is not the layer every user gets. The live SPCX product page footer states that in some regions brokerage services are provided through Trek Brokerage Services Limited, licensed by the Anjouan Offshore Finance Authority, as Intermediary Broker — a Backpack affiliate under Comoros supervision rather than the third-party SEC-registered Atomic Vaults Securities, LLC that the support pages tell holders to check on BrokerCheck. The Anjouan licence itself is UNVERIFIED: no reachable public AOFA register was found on 2026-09-18. Separately, the SEC engagement is now documented rather than inferred: a Crypto Task Force meeting memo records that on 2026-04-21 staff met representatives of Trek Labs, Inc. and Barbour, Griffith & Rogers — Can Sun (co-founder), Mark Wetjen (President of the Americas) and Keaghan Ames (BGR Group) — with an agenda covering CFTC DCM/DCO licensing and 'Securities Law Considerations and Potential SEC Oversight'. A Task Force meeting is a meeting, not a registration.
- Holder claim
- The token is, in the issuer's own words, 'a non-negotiable digital record evidencing a pro rata beneficial entitlement (if any)' as beneficiary of a BVI bare trust over a pooled holding of the referenced shares — with no entitlement to any specific identifiable share. Crucially, the trustee recognises only Trek Forge Ltd (a Backpack affiliate) as Tokenholder and sole beneficiary; a person holding the token in their own wallet 'becomes the on-chain holder of those Tokens for blockchain transfer purposes only' and has no redemption, distribution, instruction or enforcement right against the trust unless and until a 'Direct Redemption Contingency' occurs (Backpack insolvency, cessation, >90 days of suspended redemptions, court order, etc.) and the trustee expressly registers them. In practice a holder realises value by depositing the token back into a KYC'd Backpack Exchange account, which burns it and credits an off-chain UCC Article 8 security entitlement.
- Underlying custodian
- Real SpaceX shares are held through regulated US brokerage infrastructure in an OMNIBUS account at RQD Clearing, LLC (Clearing Broker; SEC-registered, FINRA & SIPC member, CRD 134284 / SEC 8-66826), with Atomic Vaults Securities, LLC as Intermediary Broker (CRD 317194 / SEC 8-70868). Under the Issuer T&C the Underlying Assets are held by Trek Nexus Markets Ltd 'as legal owner or holder of record and as bare trustee', and the trustee 'may hold Underlying Assets and proceeds in omnibus or commingled accounts' (commingled only within the same Approved Asset pool) while simultaneously stating it 'does not act as a commercial custodian or administrator' and may appoint unnamed regulated custodians. NO custodian for the tokenized pool is named in any document, and how the BVI bare trust's legal title sits alongside the RQD/Atomic Vaults account chain is undocumented. SIPC: the Brokerage ToS states that stocks are held in the Omnibus Account and 'only the Omnibus Account will receive SIPC coverage', which 'may therefore be shared among all Users and may be insufficient'; and expressly 'The Tokens are not insured or guaranteed by SIPC, any deposit insurance scheme, or any governmental agency.' the Intermediary Broker is REGION-DEPENDENT and is not necessarily the SEC-registered firm the support pages name. The live product page carries a geo-dependent footer reading 'Brokerage services in your region are provided through Trek Brokerage Services Limited, a company licensed by the Anjouan Offshore Finance Authority, acting as Intermediary Broker pursuant to the Backpack Securities Brokerage Services Terms of Service.' The Brokerage ToS contemplates exactly that — 'Intermediary Broker' is defined as 'any Affiliate of Backpack Exchange that may act as an intermediary in the Brokerage Chain, as displayed on the Platform to certain Users from time to time' — but note what changes: Atomic Vaults Securities, LLC is a THIRD-PARTY SEC-registered broker-dealer holders are told to verify on BrokerCheck, while Trek Brokerage Services Limited is a Backpack AFFILIATE supervised in Anjouan (Comoros), and no reachable public Anjouan register exists to test the licence. Only the Clearing Broker is named in the binding terms ('RQD* Clearing, LLC'); the intermediary slot is filled by the Platform at its discretion.
Redemption and holder eligibility
- Available
- Yes
- Eligibility
- Practically: any user with a KYC-verified Backpack Exchange account in a supported region (not US/UK/UAE/Japan, not Backpack EU) can deposit the token and have it converted into a traditional securities holding. Legally: only Trek Forge Ltd (or its nominee/custodian) may submit a redemption request to the trustee; 'on-chain holders and holders of Exchange Account Entitlements have no entitlement to access Redemption or burning functionalities in the ordinary course' (cl. 4.1(a)). Direct redemption against the trustee is available only after a Direct Redemption Contingency and then only subject to the trustee's KYC/KYT, proof of entitlement and express register update. No Prohibited Person or U.S. person may be registered as beneficiary or exercise redemption (cl. 4.1(c)).
- Route / rails
- Deposit the token from a Solana wallet into a Backpack Exchange account; the token is burned and the position becomes a traditional securities holding (a UCC Article 8 security entitlement) in the same account. The trustee's mechanics are: lock the tokens, burn them, then either transfer the pro rata portion of the pooled shares or — at the trustee's determination — sell them and relay the net cash proceeds ('Redemption Relay', cl. 4.2(iii)-(iv), cl. 4.6), so share delivery is not guaranteed. Onward movement to an outside broker is described as 'ACATS- and DTCC-eligible via the brokerage infrastructure', but Backpack's own support docs state plainly that 'ACATS transfers to other brokerages are still being worked on and are not currently available' and 'Support for external broker-to-broker stock transfers is still under development and is not yet available'.
- KYC
- Yes
- Minimum
- From Backpack's own asset API (https://api.backpack.exchange/api/v1/assets): minimumDeposit 0.004 SPCX, minimumWithdrawal 0.008 SPCX, withdrawalFee 0.004 SPCX. On the brokerage leg every stock order must be worth at least $1; fractional to 0.01 share during regular hours, whole shares only outside them.
- Fees
- Withdrawal of a tokenized security from Backpack Exchange to Solana: an estimated platform fee of approximately $0.50, paid in the tokenized security being withdrawn, with no additional fees. Deposits (token to traditional securities): no Backpack fee, holder pays the Solana network fee. Stock trading: no separate commission or platform fee; the quoted price is the traded price. Transaction Costs of a redemption are borne by the holder and netted from proceeds; the trustee may also set off amounts owing.

- VERIFIED NEGATIVE: no verification agent, no proof-of-reserve feed, no periodic attestation, no transfer-agent register and no published auditor report on the SPCX share pool exists. Searched: all five binding legal PDFs, Backpack's entire support-docs corpus (llms-full.txt) including its own AI query interface, the learn articles, and the token metadata. The phrase 'transfer agent' appears zero times in the legal documents, and the Issuer T&C imposes no reporting, attestation or audit obligation at all — it promises only that 'The Company will provide or make available to Tokenholders periodic information or statements ... from time to time as determined by the Company' (cl. 4.8), with no cadence, format or publication location, and 'Tokenholder' there means Trek Forge. The only backing assurance offered is a legal assertion, not a verification: 'Under Article 8-504 of the New York UCC, each customer security entitlement must be backed 1:1.' DO NOT be misled by Backpack's 'Proof of Reserves': the single PoR mention in the whole corpus sits in an unrelated FAQ about mistakenly deposited crypto and covers Backpack's CRYPTO reserves, not the equity pool (press attributes that crypto PoR to OtterSec ZK proofs; unverified, and irrelevant to SPCX). The Risk Disclosure expressly withholds any assurance 'that trust assets will at all times be properly segregated or that the trust structure will be recognised or enforceable in all circumstances'. Verification available to a holder is entity-level only — FINRA BrokerCheck on RQD and Atomic Vaults — not reserve-level. Nothing machine-readable, nothing in PDF, nothing at all. This is the sharpest contrast with Ondo, which publishes a dated third-party report every business day.
Corporate actions and economics

- Voting

- Corporate actions
- For the token: dividends received on the pool are applied by the trustee 'to the acquisition of additional units of such Approved Asset (net of any applicable fees, expenses, or withholdings)' (cl. 3.7), and Backpack's marketing describes this as automatic reinvestment into additional tokenized shares with corporate actions reflected through 'proportional token balance adjustments designed to maintain economic equivalence'. the mechanism is a CONVERSION-RATIO change, not a balance adjustment. Asset Tokenization ToS s. 1.8 ('Conversion Rate') works a 25% distribution through as a Withdrawal Conversion Rate of 1:0.8 on the way in (s. 1.8(a)) and a Detokenization Conversion Rate of 1:1.25 on the way out (s. 1.8(b)) — the holder's token count never changes; what changes is how many units of the underlying each token detokenizes into, and fractions round DOWN to between two and six decimal places. The mint does carry the Token-2022 ScaledUiAmount extension that would perform a true rebase, and Issuer T&C cl. 1.2 builds 'token multiplier or rebasing ratios' into the Conversion Rate, so both routes are contemplated — but the multiplier has never moved: re-read 2026-09-18 it is multiplier '1', newMultiplier '1', newMultiplierEffectiveTimestamp 0, and SpaceX has paid no dividend and had no split. Backpack's own status table still lists corporate actions reflected in balances as 'still being worked on'. Voting: cl. 3.9 has the trustee exercise voting only on instructions from the registered Tokenholder — i.e. Trek Forge — so an on-chain holder has no voting channel; and on the off-chain brokerage side Backpack's own status table lists voting rights, cash dividend payouts, and splits/corporate actions reflected in balances as all 'still being worked on', not enabled.
- Pricing
- reference market: exchange-nbbo · arbitrageable: true · notes: IMPORTANT: SpaceX is no longer a private company. Space Exploration Technologies Corp. listed on Nasdaq under ticker SPCX on 2026-06-12 (S-1 filed 2026-05-20; IPO price fixed at $135 per share in a 2026-06-03 amendment), so unlike a pre-IPO SpaceX wrapper there IS a real reference market and an NBBO during US hours. The token was listed on Solana the same day through Sunrise (first Jupiter pool created 2026-06-11T17:17:20Z), so the Nasdaq print anchors it: during US sessions Backpack 'routes back to U.S. exchanges'. Sessions: overnight 8pm-4am ET, pre-market 4-9:30am, regular 9:30am-4pm (the only session with fractional shares), after-hours 4-8pm, plus a weekend/holiday session Fri 8pm to Sun 8pm. CRITICAL GAP: on weekends there is no reference market at all — 'eligible stocks trade through Backpack's Weekend Order Book. Prices are determined by the buy and sell orders available on the order book and may differ from prices during U.S. market trading sessions.' Primary-market arbitrage is open to any KYC-verified non-US Backpack user via the two-way deposit/withdraw conversion at ~$0.50 plus network fee (a materially wider arbitrage base than Ondo's whitelisted primary participants), but it is permissioned and one-sided: ordinary-course redemption runs solely through Trek Forge, the brokerage leg trades only in its sessions, and an arbitrary on-chain holder cannot close a weekend or off-hours dislocation. Observed on 2026-09-16: token $144.24 on Jupiter versus $142.95 on Backpack's own SPCX.US_USDC book. Depth: $439M traded and $9.8M liquidity in the first week after the IPO (91.7% of all tokenized-SpaceX volume); 27,160+ holders and 43,248.128967 tokens outstanding. Note also that stocks held in a Backpack brokerage account are 'treated as Collateral ... and subject to Liquidation' under the Margin Trading Terms (Brokerage ToS s.6.1).

Open research questions (16)
- RESOLVED as a negative, kept for the record: there is no SEC-registered or FINRA-member entity named 'Backpack Securities'. BrokerCheck and SEC IAPD return zero records for Backpack, Backpack Securities, Trek Labs, Trek Nexus and Trek Forge; EDGAR has no filings. The only US registrations in the group are the two third-party brokers (RQD, Atomic Vaults) and a FinCEN MSB for Trek Labs, Inc. (Delaware) — the MSB itself was not verified against FinCEN's registrant database.
- Who operates Solana program FewRXXTzV2WwigvTQNsVanhEmCM9wzfNvoT1divNtbVH, whose PDAs hold the permanent-delegate, freeze, pause, metadata, hook and mint authorities, and who holds its single upgrade-authority key ERc1sdq7Lwb74kjuage5foTpavWKxdwXHUvqfg2JX5gz? The program is unidentified in every Backpack and Sunrise document, is unilaterally upgradeable, has no published audit, and carries no timelock or notice obligation (cl. 8.2: the Company 'may, but is not required to, provide notice'). A permanent delegate reachable through a unilaterally upgradeable program is the strongest possible authority on a Token-2022 mint.
- Has the permanent delegate ever been exercised, and is any log of admin actions published? Nothing was found.
- Is there any attestation, proof-of-reserve or auditor report tying the 43,248.128967 SPCX outstanding to SpaceX shares held? None was found. What is the actual share count in the pool, and where is it evidenced?
- Where exactly does legal title to the shares sit? The Issuer T&C say Trek Nexus Markets Ltd is 'legal owner or holder of record' as bare trustee; Backpack's pages say custody is at RQD Clearing and Atomic Vault Securities. The account chain linking a BVI trustee to those US brokers is not documented, nor is which entity's name is on the account.
- Is the declaration of trust dated 2026-06-06 (the 'Instrument') published anywhere? It is the document that actually creates the trust, it is cited as governing by both Backpack (Issuer T&C cl. 1.7) and Sunrise's own ToS, and it could not be found anywhere. Holders cannot read the instrument that defines their entitlement.
- Terminology conflict inside Backpack's own materials: the tokenized-securities comparison table says the legal framework is a 'Claim on SPV holding the underlying assets', while the binding Issuer T&C describe a BVI bare trust, and the 'Real Ownership & Legal Framework' page boasts the product is 'not ... SPV interest'. Which characterisation does the issuer stand behind?
- Backpack's docs spell the intermediary broker 'Atomic Vault Securities, LLC'; FINRA's registered name is 'Atomic Vaults Securities, LLC' (plural, formerly Olympus Mons Securities, LLC). A small inaccuracy, but it is in the one sentence holders are told to verify on BrokerCheck.
- Has a Direct Redemption Contingency mechanism ever been tested, and what evidence of entitlement would the trustee accept from an on-chain holder? The Risk Disclosure says there is 'no guarantee... that the Company will accept your evidence of entitlement'.
- When will ACATS/DTCC external transfers, cash dividends, corporate-action balance updates and voting actually go live? All four were still listed as 'being worked on' in docs updated around 2026-09-06, roughly three months after launch.
- Does Backpack hold SPCX in Exchange Custody for users who never withdraw, and if so what is the split between exchange-held and self-custodied supply? That ratio determines how much of the 27,160 holder count actually has redemption rights.
- Are the terms versioned? The Google Drive hosting means a silent amendment would leave no public trace, while cl. 2.4 binds every secondary acquirer to 'any amendments in effect at the time of such acquisition'.
- The Risk Disclosure and the Terms and Conditions do not list the same Direct Redemption Contingencies. Risk Disclosure p. 4 tells holders the contingency "may include insolvency, delisting, prolonged suspension of Backpack Exchange, or other specified events outside your control", but Issuer T&C cl. 1.3 defines the term exhaustively as (a) permanent cessation of Backpack Exchange's operations or services, (b) its insolvency, (c) suspension of redemptions or withdrawals for a continuous period exceeding 90 days, (d) Trek Forge notifying the Company it will no longer act as sole recognised Tokenholder, (e) a final court order or binding regulatory directive, or (f) the Company's own reasonable determination that exclusive recognition of Trek Forge is no longer possible or appropriate. There is NO delisting limb. Does a delisting of the token (or of the underlying) trigger direct redemption via (a) or (f), or does it not trigger it at all? On the face of the binding document, a delisting alone does nothing.
- Which users get which Intermediary Broker, and on what basis? The live SPCX page footer names Trek Brokerage Services Limited (Anjouan Offshore Finance Authority), the support pages name Atomic Vaults Securities, LLC (CRD 317194), and the Brokerage ToS leaves the slot to 'any Affiliate of Backpack Exchange ... as displayed on the Platform to certain Users from time to time'. Nothing published says which regions get which, whether the choice changes what SIPC or segregation protection applies, or whether Trek Brokerage Services Limited in fact holds an Anjouan licence — no reachable public AOFA register was found on 2026-09-18.
- SPCX the Nasdaq ticker and SPCX the Solana token share a symbol, and Jupiter also lists Ondo's SPCXon, Backed's SPCXx, Tessera's tSpaceX and leveraged Shift wrappers. Is there any issuer guidance to prevent holders from depositing the wrong SPCX-symbol token to Backpack? The docs warn holders to verify the contract address but the collision is structural.
- Why does Backpack's asset API publish 1,159 Solana contract addresses for .US instruments while only 56 have deposits and withdrawals enabled? Are the other 1,103 pre-created future mints, retired products, or an internal instrument universe, and what lifecycle signal besides the two enablement booleans should a holder rely on? Also: the enabled registry adds Backpack-issued USO and FWDI mints that the Jupiter-derived catalogue missed, while catalogue mint XYZ is no longer enabled and has zero on-chain supply.
