Deposit the token from a Solana wallet into a Backpack Exchange account; the token is burned and the position becomes a traditional securities holding (a UCC Article 8 security entitlement) in the same account. The trustee's mechanics are: lock the tokens, burn them, then either transfer the pro rata portion of the pooled shares or — at the trustee's determination — sell them and relay the net cash proceeds ('Redemption Relay', cl. 4.2(iii)-(iv), cl. 4.6), so share delivery is not guaranteed. For the token: dividends received on the pool are applied by the trustee 'to the acquisition of additional units of such Approved Asset (net of any applicable fees, expenses, or withholdings)' (cl. 3.7), and Backpack's marketing describes this as automatic reinvestment into additional tokenized shares with corporate actions reflected through 'proportional token balance adjustments designed to maintain economic equivalence'. CORRECTED 2026-09-18 against the binding document: the mechanism is a CONVERSION-RATIO change, not a balance adjustment. Asset Tokenization ToS s. 1.8 ('Conversion Rate') works a 25% distribution through as a Withdrawal Conversion Rate of 1:0.8 on the way in (s. 1.8(a)) and a Detokenization Conversion Rate of 1:1.25 on the way out (s. 1.8(b)) — the holder's token count never changes; what changes is how many units of the underlying each token detokenizes into, and fractions round DOWN to between two and six decimal places. The mint does carry the Token-2022 ScaledUiAmount extension that would perform a true rebase, and Issuer T&C cl. 1.2 builds 'token multiplier or rebasing ratios' into the Conversion Rate, so both routes are contemplated — but the multiplier has never moved: re-read 2026-09-18 it is multiplier '1', newMultiplier '1', newMultiplierEffectiveTimestamp 0, and SpaceX has paid no dividend and had no split. Backpack's own status table still lists corporate actions reflected in balances as 'still being worked on'. Voting: cl. 3.9 has the trustee exercise voting only on instructions from the registered Tokenholder — i.e. Trek Forge — so an on-chain holder has no voting channel; and on the off-chain brokerage side Backpack's own status table lists voting rights, cash dividend payouts, and splits/corporate actions reflected in balances as all 'still being worked on', not enabled.

The token is, in the issuer's own words, 'a non-negotiable digital record evidencing a pro rata beneficial entitlement (if any)' as beneficiary of a BVI bare trust over a pooled holding of the referenced shares — with no entitlement to any specific identifiable share. Crucially, the trustee recognises only Trek Forge Ltd (a Backpack affiliate) as Tokenholder and sole beneficiary; a person holding the token in their own wallet 'becomes the on-chain holder of those Tokens for blockchain transfer purposes only' and has no redemption, distribution, instruction or enforcement right against the trust unless and until a 'Direct Redemption Contingency' occurs (Backpack insolvency, cessation, >90 days of suspended redemptions, court order, etc.) and the trustee expressly registers them. In practice a holder realises value by depositing the token back into a KYC'd Backpack Exchange account, which burns it and credits an off-chain UCC Article 8 security entitlement.

Voting: cl. 3.9 has the trustee exercise voting only on instructions from the registered Tokenholder — i.e. Trek Forge — so an on-chain holder has no voting channel; and on the off-chain brokerage side Backpack's own status table lists voting rights, cash dividend payouts, and splits/corporate actions reflected in balances as all 'still being worked on', not enabled.

Open questions
- RESOLVED as a negative, kept for the record: there is no SEC-registered or FINRA-member entity named 'Backpack Securities'. BrokerCheck and SEC IAPD return zero records for Backpack, Backpack Securities, Trek Labs, Trek Nexus and Trek Forge; EDGAR has no filings. The only US registrations in the group are the two third-party brokers (RQD, Atomic Vaults) and a FinCEN MSB for Trek Labs, Inc. (Delaware) — the MSB itself was not verified against FinCEN's registrant database.
- Who operates Solana program FewRXXTzV2WwigvTQNsVanhEmCM9wzfNvoT1divNtbVH, whose PDAs hold the permanent-delegate, freeze, pause, metadata, hook and mint authorities, and who holds its single upgrade-authority key ERc1sdq7Lwb74kjuage5foTpavWKxdwXHUvqfg2JX5gz? The program is unidentified in every Backpack and Sunrise document, is unilaterally upgradeable, has no published audit, and carries no timelock or notice obligation (cl. 8.2: the Company 'may, but is not required to, provide notice'). A permanent delegate reachable through a unilaterally upgradeable program is the strongest possible authority on a Token-2022 mint.
- Has the permanent delegate ever been exercised, and is any log of admin actions published? Nothing was found.
- Is there any attestation, proof-of-reserve or auditor report tying the 43,248.128967 SPCX outstanding to SpaceX shares held? None was found. What is the actual share count in the pool, and where is it evidenced?
- Where exactly does legal title to the shares sit? The Issuer T&C say Trek Nexus Markets Ltd is 'legal owner or holder of record' as bare trustee; Backpack's pages say custody is at RQD Clearing and Atomic Vault Securities. The account chain linking a BVI trustee to those US brokers is not documented, nor is which entity's name is on the account.
- Is the declaration of trust dated 2026-06-06 (the 'Instrument') published anywhere? It is the document that actually creates the trust, it is cited as governing by both Backpack (Issuer T&C cl. 1.7) and Sunrise's own ToS, and it could not be found anywhere. Holders cannot read the instrument that defines their entitlement.
- Terminology conflict inside Backpack's own materials: the tokenized-securities comparison table says the legal framework is a 'Claim on SPV holding the underlying assets', while the binding Issuer T&C describe a BVI bare trust, and the 'Real Ownership & Legal Framework' page boasts the product is 'not ... SPV interest'. Which characterisation does the issuer stand behind?
- Backpack's docs spell the intermediary broker 'Atomic Vault Securities, LLC'; FINRA's registered name is 'Atomic Vaults Securities, LLC' (plural, formerly Olympus Mons Securities, LLC). A small inaccuracy, but it is in the one sentence holders are told to verify on BrokerCheck.
- Has a Direct Redemption Contingency mechanism ever been tested, and what evidence of entitlement would the trustee accept from an on-chain holder? The Risk Disclosure says there is 'no guarantee... that the Company will accept your evidence of entitlement'.
- When will ACATS/DTCC external transfers, cash dividends, corporate-action balance updates and voting actually go live? All four were still listed as 'being worked on' in docs updated around 2026-09-06, roughly three months after launch.
- Does Backpack hold SPCX in Exchange Custody for users who never withdraw, and if so what is the split between exchange-held and self-custodied supply? That ratio determines how much of the 27,160 holder count actually has redemption rights.
- Are the terms versioned? The Google Drive hosting means a silent amendment would leave no public trace, while cl. 2.4 binds every secondary acquirer to 'any amendments in effect at the time of such acquisition'.
- The Risk Disclosure and the Terms and Conditions do not list the same Direct Redemption Contingencies. Risk Disclosure p. 4 tells holders the contingency "may include insolvency, delisting, prolonged suspension of Backpack Exchange, or other specified events outside your control", but Issuer T&C cl. 1.3 defines the term exhaustively as (a) permanent cessation of Backpack Exchange's operations or services, (b) its insolvency, (c) suspension of redemptions or withdrawals for a continuous period exceeding 90 days, (d) Trek Forge notifying the Company it will no longer act as sole recognised Tokenholder, (e) a final court order or binding regulatory directive, or (f) the Company's own reasonable determination that exclusive recognition of Trek Forge is no longer possible or appropriate. There is NO delisting limb. Does a delisting of the token (or of the underlying) trigger direct redemption via (a) or (f), or does it not trigger it at all? On the face of the binding document, a delisting alone does nothing.
- Which users get which Intermediary Broker, and on what basis? The live SPCX page footer names Trek Brokerage Services Limited (Anjouan Offshore Finance Authority), the support pages name Atomic Vaults Securities, LLC (CRD 317194), and the Brokerage ToS leaves the slot to 'any Affiliate of Backpack Exchange ... as displayed on the Platform to certain Users from time to time'. Nothing published says which regions get which, whether the choice changes what SIPC or segregation protection applies, or whether Trek Brokerage Services Limited in fact holds an Anjouan licence — no reachable public AOFA register was found on 2026-09-18.
- SPCX the Nasdaq ticker and SPCX the Solana token share a symbol, and Jupiter also lists Ondo's SPCXon, Backed's SPCXx, Tessera's tSpaceX and leveraged Shift wrappers. Is there any issuer guidance to prevent holders from depositing the wrong SPCX-symbol token to Backpack? The docs warn holders to verify the contract address but the collision is structural.
